Terms and Conditions 

1. Program Description.

Health Coach Website Design Essentials Package (the “Package”) includes:

  • Creation and publication of a unique 4-page website (Home, About, Services, Contact) for your Health Coaching business, using Squarespace which will include:

    • Website Design Questionnaire to gather key information about your website vision.

    • 30-minute Pre-Design Call by phone to discuss your website vision before design begins.

    • 60-minute Post-Design Call by video to review your website after the design is created.

    • Video recording providing a tutorial on how to update your website on your own.

    • Two rounds of revisions during the process. Each “revision” will be defined as one conversation (during the Post-Design call), OR one email, and will include revisions for format, layout, images, colors, fonts, and copy for all pages.

Process and Timeframe:

  • Upon completion of purchase and payment, you will receive the Website Design Questionnaire to complete. After the Website Design Questionnaire has been completed, you have 14 business days to book the Pre-Design Call.

  • After the Pre-Design Call is conducted, you will be provided with a dropbox folder where you will save your images and copy (text) for the website.

    • A dropbox folder will be created and shared with you, containing a subfolder for each of the 4 pages (Home, About, Services, Contact).

      • Images for each page will be saved (by you) to the appropriate folder (in jpeg format - max 20MB).

      • Copy for each page will be saved (by you) to the appropriate folder (in word .doc format)

    • An additional folder will be created for your logo, favicon, and any other images that we will discuss during the Pre-Design Call.

    • Should more than 4 pages be needed for your website, up to 4 additional pages can be added at the charge of $75 per page (for a maximum page count of 8 pages).

  • Using the information that we discussed during the Pre-Design Call, and the content that you have provided in the dropbox folder, I will create your new website. The password-protected website link will be provided to you by e-mail within 14 days.

  • After receipt of the website link, you will have 7 business days to review the website and to schedule your Post-Design Call so that we can review the website together.

  • During the Post-Design Call, we will review the website over Zoom, and I will make notes of your first round of requested revisions. Each “revision” will be defined as one conversation (during the Post-Design call), OR one email, and will include revisions for format, layout, images, colors, fonts, and copy for all pages.

  • The revised website will be provided to you within 7 business days after the Post-Design Call. After receipt, you will have 7 days to review the website and to email me with requests for the second (final) round of revisions. All revisions should be included in one email (layout, copy, fonts, images, etc).

  • Following my receipt of the second (final) round of requested revisions, the revised website will be provided to you within 7 business days.

  • After the final round of revisions, we will work together on the final steps for publishing your website. Because these needs will vary from person to person, depending on your domain name and if you have already purchased one or not, it will be determined if this will be accomplished via email or if a zoom call is required.

  • Within 14 business days of your website going live, I will provide a tutorial video recording demonstrating how to update your website yourself in the future.

2. Expectations.

During the Package, you can expect that I as your Website Designer will:

  • Prepare your website in the agreed-upon timeframe, provided all information is provided to me on time by you.

  • Create a unique website including up to 4 pages (Home, about, services, and contact).

    • Each page will utilize standard functionality found within the Squarespace platform.

    • Custom coding and templates from outside sources are not included in this package.

    • There is a maximum of 700 words and 6 images per page included in this package.

    • Buttons or links that you would like to direct to pages or forms outside of the website (such as pdf documents, schedulers, etc.) may incur an additional charge.

    • Should more than 4 pages be needed for your website, up to 4 additional pages can be added at the charge of $75 per page.

  • Conduct up to 2 revisions for the website.

    • Each “revision” will be defined as one conversation (during the Post-Design call), OR email, and will include revisions for format, layout, images, colors, fonts, and copy for all pages.

  • Provide support, encouragement, feedback and guidance about your website.

  • Connect your pre-purchased domain, or partner with you to purchase a new domain, in order to publish the website.

  • Transfer ownership of your website to you, with a single domain connected (additional domain connections may incur additional cost).

I expect that you as the Client will:

  • Provide all copy, images, descriptions, and requested information for your website according to the agreed-upon timeframes; otherwise, you risk delays in production

  • Use your best efforts to provide all requested information before website design work has begun, as detailed in the “Process and Timing” section above.

  • Save images for the website to the appropriate folder in dropbox, in jpeg format.

  • Save copy for the website to the appropriate folder in dropbox, in word .doc format.

  • Present requests for revisions as defined by one conversation (during the Post-Design call), OR one email, and will include revisions for format, layout, images, colors, fonts, and copy for all pages.

  • Promptly provide payment for the Package.

  • Ask any questions you may have as they arise.

3. Scheduling.

Scheduling Calls and Contacting Me: I try to be attentive to my clients. Should you need to reach me, please contact me by email or messenger (through Practice Better) between 8:00am – 7:00pm ET. I will do my best to respond to you within 24 hours on weekdays. On weekends and holidays, I will do my best to reply to you by the next business day. If you want to discuss something at length with me, I may request that we wait and discuss your question during our Pre-Design Call or Post-Design Call. Please come prepared to start and end your Calls on time.

Rescheduling: If you need to reschedule or cancel a Call, you need to do so at least 24 hours in advance of your scheduled time by sending an e-mail to me so we may reschedule the Call as soon as possible to keep on track with our agreed-upon timeframe.

4. Investment and Payment.

Investment: You agree that you are financially willing and able to invest in this Package by choice, and that by so doing, you are not incurring any economic hardship in any way.

Payment in full is due when you sign up for the Package.

This Package is based on a 4-page website (Home, About, Services, and Contact). If, during the pre-design call, it is determined that the website will require more than 4 pages, a revised agreement will be presented for review and approval before moving forward. Up to 4 additional pages can be added at a cost of $75/page.

This Package is based on two rounds of revisions (one revision includes both copy and image updates). If additional revisions are requested, an additional cost will be provided in an estimate before completion.

Payment Authorization and Receipt: If paying by credit card, you give us permission to automatically charge your credit card as payment for your Package without any additional authorization, and you will receive an electronic receipt. If I choose to provide you with an invoice instead, you are required to manually pay it by the date due on the invoice or your Package will be put on hold until payment is made.

Missed Payment: If payment is not received by the date due or there is a problem with the payment transaction or method, you will be notified by e-mail and then have a 3 day grace period to make the payment following the due date, otherwise your Package will be put on hold. If no payment is made within the 3 day grace period, the Package will automatically terminate and you will no longer be granted access.

Delay: This package will be canceled if there is a delay of 60 days after purchase and the Pre-Design Call is not booked due to Client’s lack of response or lack of availability to conduct the call. After the Pre-Design Call is completed, the package will be canceled if the Post-Design Call is not scheduled within 60 days of that date.

Refund Policy: It is my intention for you to be happy with your Package. However, because I have invested considerable time and effort in your Package, if you decide to withdraw at any time for any reason, you are still fully responsible for making all payments, and no refunds will be provided.

5. Confidentiality.

Both the Website Designer and the Client mutually agree not to disclose, reveal or make use of any information learned by either party during the term of this Agreement (“Confidential Information”). Confidential Information includes, but is not limited to, information disclosed in connection with this Agreement, and shall not include information rightfully obtained from a third party who has a bona fide right to make such information available without restriction. Both parties shall keep all Confidential Information strictly confidential by using a reasonable degree of care, but not less than the degree of care used to safeguard its own confidential information. Both parties agree that the confidentiality of any and all Confidential Information shall survive the termination, revocation, or expiration of this Agreement. In the event that Client is required by law to disclose any of the Confidential Information, the Client agrees to: (1) provide the Website Designer with prompt notice of such requirement prior to making the disclosure, and (2) give the Website Designer all available information and assistance to enable the Website Designer to take the measures appropriate to protect the Confidential Information from disclosure.

6. Intellectual Property Rights.

Copyright Ownership of Design Elements Provided by Client: The Client represents to the Website Designer and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to the Website Designer for inclusion in the website design are owned by the Client, or that the Client has written permission from the rightful owner to use each of these elements without intruding upon or violating the rightful owner’s intellectual property rights. The Client agrees to hold harmless, protect, and defend the Website Designer, its subsidiaries, agents, affiliates, successors, assigns, employees, and subcontractors from any claim or suit arising from any unlawful use of such elements furnished by the Client, whether the suit or claim was initiated by the Client or anyone else.

Copyright Ownership of the Finished Design Provided by Website Designer: Copyright ownership of the finished website design produced by the Website Designer will be owned by the Client. Copyright rights to the finished design of the website will transfer to the Client upon the final payment for the Package. Rights to photos, graphics, work-up files, and trade secrets are specifically not transferred to the Client and remain the property of the Website Designer and/or their respective owners. The Client agrees that the Website Designer and its subcontractors shall have the right to display the finished designs produced for the Client as examples of their work in their respective portfolios and on their websites.

7. Personal Responsibility, Assumption of Risk & Release of Claims.

Assumption of Risk: The Client accepts and agrees that the Client is 100% responsible for its progress and results from the Package. The Website Designer will help and guide the Client through the process; however, participation by the Client is vital to the Package’s success and the Client agrees to be engaged, provide requested information on time, and attend Calls according to the agreed-upon timeframe. The Website Designer makes no representations, warranties or guarantees verbally or in writing regarding the performance of the finished website designs. The Client understands that because of the nature of the Package, the results may significantly vary based on a wide variety of reasons having nothing to do with the Website Designer or the Package. By signing and agreeing to these terms, the Client acknowledges that there is an inherent risk of loss of capital, time or other resources, and there is no guarantee that the Client will increase their brand visibility, income, or generate any other desired result as a result of participation in the Package. Any comments about the outcome by the Website Designer are expressions of opinion only. The Client knowingly assumes all of the risks of the Package related to the Client’s use, misuse, or non-use of the website design.

Limitation of Liability, Indemnification, and Release of Claims: Care has been used in preparing the website provided to you as the Client, but you agree that the Website Designer will not be held responsible in any way for the information that you request or receive through the Package, including the designs and any other information you have as part of or related to this Package. You agree that you fully and completely hold harmless, indemnify and release the Website Designer from any and all liability, damages, causes of action, allegations, suits, sums of money, claims and demands whatsoever, in law or equity, that you ever had, now have or claim to have in the future that may arise from your participation in the Package, to the extent permitted by applicable law. 8. Other Important Terms.

Termination: If either of us want to terminate the Agreement at any time, we both agree to notify the other at least 3 days in advance by e-mail. Even after termination by either of us, all of the terms of this Agreement, including all of the Investment, Refund Policy, and Intellectual Property terms, will still apply to both of us, now and in the future.

Notice: All correspondence or notice required regarding the Package shall be made to each respective party at the e-mail address provided upon registration for the Package. Should your e-mail address, billing information, or contact information change at any time, it is your responsibility to provide your updated information to me within 3 days of any change.

Entire Agreement, Assignment, Survivability and Waiver: This Agreement contains our entire agreement. This Agreement may be modified or amended at any time as long as the amendment is in writing and signed by both of us. You may not assign your rights or obligations under this Agreement to anyone else, and the obligations under this Agreement shall survive indefinitely unless otherwise stated in this Agreement. If I choose to waive or not enforce one or more terms of this Agreement, it does not in any way limit my right to later enforce every part of this Agreement.

Governing Law: This Agreement shall be construed according to the laws of the County of Westchester in the State of New York where my business is located.

Dispute Resolution: Should we ever have any differences, it is hoped that we could work them out amiably through e-mail correspondence. However, if we are unable to seek resolution in 14 days, we agree now that the only method of legal dispute resolution that will be used is binding arbitration before a single arbitrator, jointly selected by both of us, unless we both agree otherwise in writing. You understand and agree now that the only remedy that can be awarded to you through arbitration is the full refund of your Payment made to date. No other actions or financial awards or consequential damages, or any other type of damages, may be granted to you. We both agree now that the decision of the arbitrator is final and binding, and may be entered as a judgment into any court having the appropriate jurisdiction. You also agree that should arbitration take place, it will be held in the County of Westchester, in the State of New York where my principal place of business is located, and the prevailing party shall be entitled to all reasonable attorneys’ fees and all costs necessary to enforce the decision of the arbitrator, notwithstanding any limitations by law.

Non-Disparagement: If there is a dispute between us, you agree to not publicly or privately make any negative or critical comments about the Package, my business or me, or to communicate with any other individual, company or entity in a way that disparages the Package or harms my reputation in any way, including on social media. In arbitration or when required by law, of course, you are not prohibited from publicly sharing your thoughts and opinions.
